Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VistaOpps platform and website at vistaopps.com (the "Service"), provided by VistaOpps LLC ("VistaOpps," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for business use. You are responsible for the information you provide, for maintaining the confidentiality of your login credentials, and for all activity under your account. Notify us promptly of any unauthorized use.

2. Description of the Service

VistaOpps is a subscription platform that helps local service businesses generate branded marketing content and identify local business opportunities and partners. Features may change, expand, or be discontinued over time.

3. Subscriptions, billing, and cancellation

Plans and fees. Access to the Service requires a paid subscription. Current plans and prices are shown at checkout. Fees are billed in advance on a recurring basis (for example, monthly) through our payment processor, Stripe.

Automatic renewal. Your subscription automatically renews at the end of each billing period at the then-current rate, unless you cancel before the renewal date.

Cancellation. You may cancel at any time through the customer billing portal. Cancellation takes effect at the end of your current billing period; you retain access until then. Founding-member or promotional rates, where offered, apply only while your subscription remains continuously active and are subject to their stated terms.

Failed payments. If a payment fails, we may attempt to charge your payment method again and may suspend or limit access until payment is resolved.

Refunds. Except where required by law, fees are non-refundable, and we do not provide refunds or credits for partial periods.

Price changes. We may change our prices. We will provide reasonable notice of any price increase, which will apply to your next billing period.

4. Your content

You retain ownership of the content and materials you provide, upload, or create using the Service ("Your Content"), including your business information, logos, and any videos or images you upload. You grant VistaOpps a limited, non-exclusive license to host, process, and use Your Content solely to provide and improve the Service and to deliver the features you request (such as generating, scheduling, or publishing content).

You are responsible for Your Content and represent that you have the rights necessary to use it and to grant the license above, and that it does not infringe the rights of others or violate any law.

5. AI-generated content

The Service uses artificial intelligence to generate images, text, and other content. AI-generated content may be inaccurate, incomplete, or unsuitable, and is provided for your review. You are solely responsible for reviewing, editing, and approving any content before you publish or otherwise use it. VistaOpps does not guarantee the accuracy, quality, originality, or fitness of generated content, and you use it at your own risk. Generated content is not professional, medical, legal, or financial advice.

6. Local business data and marketing compliance

The Service may surface information about local businesses and opportunities drawn from third-party sources. This information is provided "as is," may be inaccurate or out of date, and is intended to help you identify prospects and partners.

You are solely responsible for how you use this information and for complying with all applicable laws governing marketing and outreach, including but not limited to the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), and any state or local rules regarding calls, texts, email, and direct mail. VistaOpps does not send outreach on your behalf to these contacts, and nothing in the Service should be construed as legal advice regarding your marketing practices.

7. Connected accounts and third-party platforms

The Service may let you connect third-party accounts (such as Facebook, Instagram, or TikTok) to publish or schedule content. Your use of those platforms is governed by their own terms and policies, and you are responsible for complying with them. You authorize VistaOpps to act on your behalf only as needed to provide the connected features you enable, and you may disconnect at any time. We are not responsible for the availability, actions, or policies of third-party platforms.

8. Acceptable use

You agree not to:

• Use the Service for any unlawful, deceptive, harassing, or harmful purpose;
• Generate or publish content that is illegal, infringing, defamatory, or that violates the policies of any connected platform;
• Attempt to access accounts, data, or systems you are not authorized to access;
• Interfere with, disrupt, reverse engineer, or attempt to circumvent the security or integrity of the Service;
• Resell, sublicense, or provide the Service to third parties except as expressly permitted;
• Use the Service to send unlawful or unsolicited communications.

We may suspend or terminate accounts that violate these Terms.

9. Intellectual property

The Service, including its software, design, and branding (excluding Your Content), is owned by VistaOpps and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms. You may not copy, modify, or create derivative works of the Service.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT OR DATA IT PROVIDES WILL BE ACCURATE. WE DO NOT GUARANTEE ANY PARTICULAR BUSINESS RESULTS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISTAOPPS AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless VistaOpps and its owners and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, your marketing and outreach activities, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms, fail to pay, or if we discontinue the Service. Upon termination, your right to use the Service ends; provisions that by their nature should survive (such as ownership, disclaimers, limitation of liability, and indemnification) will survive.

14. Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey, unless otherwise required by applicable law.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
